These Terms and Conditions are intended to supplement those to which you and Accelerate Technologies LLC dba WSI Connect (“Consultant”) agreed in connection with the Digital Marketing Services proposed and reviewed. Please read these terms and conditions carefully.
Term of Agreement and Payment of Fees.
Your agreement is for an initial term of 1 month, and shall automatically renew on a month-to-month basis at the end of the initial term unless earlier terminated by Consultant or Client as provided below. Fees and charges for the services to be rendered by and through Consultant are as set forth in the marketing services proposed. Payments are processed 1 to 2 business days before the 1st of each month.
Search Engine Optimization.
You are and shall remain responsible for the content of your web site, including any Google Places pages, and all other directory listings. Consultant shall provide you with recommended content and work diligently to improve the position of your web site listing and Google Places listing in the search engine results, but has not guaranteed and cannot guarantee that your listing will improve in the search engine results. Furthermore, you acknowledge that the search engines control whether or not a listing appears in the results and in what position. You specifically understand and agree that Consultant shall not be liable for any costs incurred, or compensation or loss of earnings suffered, as a result of or related to your listing moving lower in the results pages, and you hereby indemnify Consultant and hold harmless from and against any such costs or losses.
Online Marketing and Advertising.
You are and shall remain responsible for the content of any advertising, promotional and other materials displayed or used in connection with the services proposed, and you agree to indemnify and hold Consultant harmless from and against any and all claims by regulatory or legal authorities or third parties arising under or relating to that content.
Termination.
If you default on any of your obligations undertaken in this agreement or for any other reason, Consultant shall have the right to terminate this agreement and the digital marketing services proposed, deliver all services paid for, and provide no further services. After the expiration of the initial term, you shall have the right to terminate this agreement at any time by providing 30 days written notice to Consultant. However, you shall remain liable for all fees due prior to termination.
